Bill Ellis is a partner in the Real Estate Practice Group. He has more than thirty years of transactional real estate experience handling workouts/restructurings, leasing, acquisitions, dispositions, financing, joint ventures, and development across the United States. Bill works with private equity funds, global financial institutions, investment banks, REITs, other investment funds, and private developers. He began his career as a corporate and securities lawyer handling corporate acquisitions, IPOs, and mergers. Most recently, Bill served as General Counsel and Corporate Secretary of Reading International, Inc. (NASDAQ: RDI), the successor to the famous Reading Railroad and now developer, owner, and operator of retail and commercial real estate in Australia, New Zealand, and the United States, including entertainment-themed retail centers, cinemas, and live theater assets.
 
Representative Experience

Representation of international bank in workout, restructuring, foreclosure, and bankruptcy of a dozen high-end resorts in the United States and the Caribbean.

Representation of large private equity fund in sale-leaseback transactions on corporate headquarters of numerous Fortune 500 companies.

Representation of numerous investors in establishing limited liability companies for the acquisition and development of raw land, shopping centers, hotels, multifamily properties, and office buildings around the U.S.

Representation of Wall Street investment bank in negotiation of joint ventures and acquisitions for development and/or repositioning of multifamily properties in California and Hawaii.

Representation of money center banks, investment banks, and alternative lender in construction and acquisition loans in Texas, Hawaii, New York, Arizona, California, and across the U.S., together with workouts of same.

Representation of national cell tower company as outside general counsel in all aspects of leasing, fund formation, and financing around the U.S.

Representation of investment bank affiliate in formation of REITs and other funds for acquisition of national real estate projects and loan originations.

Representation of offshore investors from Japan, Singapore, Hong Kong, United Arab Emirates, Kuwait, Indonesia, Saudi Arabia, United Kingdom, Chile and Switzerland in connection with numerous real estate developments, joint ventures, financings and acquisitions of a variety of real estate projects.

Representation of asset management firm in connection with its acquisition of an eight-site, limited-service hotel portfolio in the Midwest, including restructuring the venture, negotiating with the preferred equity holders and handling the mortgage loan workout negotiations.

Representation of privately and publicly held corporations in connection with acquisition and sale of corporations and businesses.

Representation of various partners, general and limited, in formation or termination of limited and general partnerships, including representation of offshore investors, arrangements for takeover or partition of commercial and residential development projects held by general partnerships, limited partnerships and limited liability companies, buyouts of dissident partners and negotiations for replacement investors and lenders.

Representation of insurance companies, investment banks, money center banks and borrowers in industrial, hotel, office and multi-family workouts, restructurings and deed-in-lieu of foreclosure transactions across the U.S.

Representation of landlords and tenants in leasing of over 5,000,000 square feet of office and retail space.

Representation of developers in all phases of development of industrial projects, hotels, shopping centers and office buildings.

Representation of alternative investment division of money center bank in acquisition, restructuring and partial disposition of over one hundred boutique hotels, apartment buildings, shopping centers, and office buildings across the U.S.

Representation of boutique hotel and resort management company, as outside general counsel, in connection with management contracts for sites in New York City, Lake Placid, Beverly Hills, San Diego, Harpers Ferry, Dallas, Orlando, Kansas City and many more. Also handled a corporate restructuring and recapitalization of this management company, including the formation of a distressed hotel investment fund.
