Carl Roston serves as co-chair of Akerman's Mergers & Acquisitions and Private Equity Practice, a Chambers USA ranked team representing private equity funds and strategic buyers and sellers in middle market to multibillion dollar transactions. He represents private equity funds, public and private companies, and large family offices in connection with structuring and negotiating complex domestic and international business transactions. He represents clients in sectors such as aerospace, aviation, defense, technology, software, telecommunications, distribution, supply chain and logistics, manufacturing, retail, energy, healthcare, financial services, consumer products, and industrial and business services.

Ranked by Chambers USA, which notes Carl does “very sophisticated, high-level deals,” he represents clients engaging in acquisitions leveraged buyouts, recapitalizations, joint ventures, co-investments, growth capital investments, debt and equity financings, and securities offerings. He represents portfolio companies of private equity clients and other companies in their corporate transactions, and effectively serves as their outside general counsel. Carl also represents investors and companies in distressed corporate situations, including out of court and in court distressed acquisitions (including under Section 363 of the Bankruptcy Code), investments, restructurings, recapitalizations, reorganizations, and workouts.

Carl’s clients include leading middle market private equity funds and their portfolio companies, a publicly traded company that is the world's leading distributor and value added service provider of aerospace fasteners and consumables, a provider of services and products for the oil and gas industry, a publicly-traded diversified holding company, a publicly-traded global designer, manufacturer, and supplier of aerospace, defense, and electronic-related products and services, the largest branded manufacturer of tobacco in its category in North America, a leading regional distributor, and a global leader in private markets investing with more than $190 billion under management and advisement.

Private Equity Fund Acquisition: Represented a New York private equity fund in the acquisition of a platform health care services company and multiple bolt-on acquisitions as part of a rapid consolidation strategy.

Private Equity Fund Cross-Border Acquisition: Represented a New York private equity fund in its cross-border acquisition of the leading global manufacturer of branded products for the spa, massage and wellness industries and its acquisition of the nation’s largest provider of highway rumble strips and safety paving services.

Billion Dollar Merger: Represented clients in the combination of an Audax Group portfolio company with Dade Paper & Bag, to form one of the largest independent distributors of food service and janitorial supplies in the country, with combined sales of over $1 Billion.

Media Sector Acquisition: Represented HC2 Holdings, Inc. (NYSE:HCHC) in its acquisition of a controlling interest in DTV America Corporation, an aggregator and operator of low power television licenses and stations across the United States.

Aerospace and Energy Sectors Transaction: Represented KLX Inc. (NASDAQ: KLXI), the world's leading distributor and value added service provider of aerospace fasteners and consumables, and a provider of services and products for the oil and gas industry, in its acquisition Herndon Aerospace & Defense, LLC for $210 million.

Technology Company Disposition: Represented Kayne Partners in the sale of a technology company securing enterprise security solutions as part of Cyxtera’s acquisition of multiple companies with an aggregate value of $2.8 Billion.

Private Equity Fund Disposition: Represented Comvest Investment Partners in connection with the disposition of a software and logistic portfolio company.
